1. Agreement to Terms
These Terms of Service constitute a legally binding agreement made between you and Schedler (“we,” “us,” or “our”) concerning your access to and use of the Schedler appointment reminder service, website, and related applications (collectively, the “Service”).
By accessing or using our Service, you agree that you have read, understood, and agree to be bound by all of these Terms of Service. If you do not agree with any part of these Terms of Service, you may not access the Service.
2. Service Description
Schedler is an appointment reminder solution for service businesses and freelancers. The Service allows users to schedule and send automated reminders to their clients about upcoming appointments.
3. User Accounts
To access certain features of the Service, you must register for an account. When you register, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security of your account credentials
- Be responsible for all activities that occur under your account
- Notify us immediately of any unauthorized access to your account
We reserve the right to suspend or terminate your account if any information provided is inaccurate, false, or no longer current, or if we have reasonable grounds to suspect that such information is inaccurate, false, or no longer current.
4. Subscription and Payment
Some features of the Service require a paid subscription. By subscribing to a paid plan, you agree to:
- Pay all fees in accordance with the billing terms
- Provide current, complete, and accurate billing information
- Authorize us to charge your payment method for the selected plan
- Renew your subscription automatically until you cancel it
We reserve the right to change our prices at any time. If we change pricing, we will provide notice of the change on our website or by email, at least 30 days before the change takes effect.
5. Cancellation and Refunds
You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation:
- You will continue to have access to the Service until the end of your current billing period
- Your subscription will not renew after the current billing period ends
- No refunds will be provided for unused portions of the current billing period
6. User Conduct
By using our Service, you agree not to:
- Use the Service for any illegal purpose or in violation of any local, state, national, or international law
- Violate or infringe upon the rights of others, including their privacy and intellectual property rights
- Send spam or unsolicited messages to clients who have not consented to receive communications
- Attempt to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Service
- Upload or transmit viruses, malware, or other types of malicious software
- Use the Service in any manner that could disable, overburden, damage, or impair the Service
- Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service
7. Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of Schedler and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Schedler.
8. User Content
You retain all rights to any content you submit, post, or display on or through the Service (“User Content”). By providing User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute such content in connection with providing the Service.
You represent and warrant that: (i) you own the User Content or have the right to use and grant us the rights and license as provided in these Terms, and (ii) the posting of your User Content does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person.
9. Limitation of Liability
In no event shall Schedler, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Service
- Any conduct or content of any third party on the Service
- Any content obtained from the Service
- Unauthorized access, use, or alteration of your transmissions or content
Our liability is limited to the maximum extent permitted by law.
10. Disclaimer
The Service is provided on an “AS IS” and “AS AVAILABLE” basis. We make no warranties, expressed or implied, regarding the operation or availability of the Service. We do not warrant that:
- The Service will be uninterrupted, timely, secure, or error-free
- The results that may be obtained from the use of the Service will be accurate or reliable
- The quality of any products, services, information, or other material purchased or obtained through the Service will meet your expectations
11. Indemnification
You agree to defend, indemnify, and hold harmless Schedler and its licensors, service providers, employees, agents, officers, and directors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Service or your use of the Service.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Schedler is established, without regard to its conflict of law provisions.
13. Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
